MXH is an indirect, wholly owned subsidiary of Minimax Viking GmbH (“MVG”), a direct wholly owned subsidiary of MV Holding GmbH (“MVH”) which is the ultimate parent of the Minimax Viking Group (“MVH and its subsidiaries”). Both MVG and MVH are domiciled in Germany.
MXH provides centralized support functions, such as treasury, tax management, and insurance to its wholly owned subsidiaries and does not have any revenue-generating operations of its own.
Cosco and Firetrol provide various highly specialized design, installation, repair, service and inspection for both fire suppression and alarm and detection systems in commercial, industrial, institutional and multi-tenant residential and resort facilities throughout the United States of America. Viking and its subsidiaries manufacture and distribute fire sprinklers and related fire sprinkler components.
Viking offers total suppression solutions by providing its manufactured products and related third-party products along with value-added services such as fabrication, pre-assembly, product training and technical assistance. Viking products are installed in commercial, industrial, storage, office, institutional and residential properties.
CFP is a national service provider of repair, service and inspection for both fire suppression and alarm and detection systems through a network of service providers that include Cosco and Firetrol, as well as other independent third-party service providers throughout the United States of America.
Flamex is engaged primarily in the sales, service, and maintenance of spark detection and fire protection equipment to industrial manufacturers.
The consolidated financial statements include the accounts of MX Holdings US, Inc. (“MXH”) and its wholly owned subsidiaries: Viking Group, Inc. (“Viking”); CFP Fire Protection, Inc. (“CFP”); Flamex, Inc. (“Flamex”); Cosco Fire Protection, Inc. (“Cosco”); and Firetrol Protection Systems, Inc. (“Firetrol”); MXH, Viking, CFP, Flamex, Cosco, and Firetrol are, collectively, the “Company”.
